Terms of Service
Agreement to Terms
By engaging Woodstock Digital Marketing ("WDM," "we," "us") for any service, requesting a free audit, or using this website, you agree to be bound by these Terms of Service. If you do not agree, do not use our services or this website.
These terms constitute the entire agreement between you and WDM with respect to our services and supersede all prior communications on the same subject.
Website Design & Hosting Service ($300 + $10/mo)
The $300 flat fee covers WDM's labor for the following deliverables:
- ✓ Free SEO audit of your existing site prior to engagement
- ✓ Custom brochure website — rebuilt from your existing site or designed from scratch
- ✓ On-page SEO: meta tags, title tags, schema markup, XML sitemap, robots.txt
- ✓ Google Tag Manager and Google Analytics 4 installation and verification
- ✓ Hosting setup on WDM's managed infrastructure
- ✓ DNS transfer assistance
Content and assets: You may provide copy, photos, and logos. If not provided, WDM will use freely-licensed stock assets. Any paid stock photography or premium assets will be disclosed to you in advance and billed at cost.
Revisions: One (1) revision round is included after initial delivery. Additional revision rounds are billed at an hourly rate agreed upon in writing before work begins.
Managed hosting: After launch, your website is hosted on WDM's own AWS infrastructure for a recurring fee of $10/month, billed monthly starting at launch. This fee covers hosting, SSL certificate management, CDN delivery, and uptime monitoring. WDM may adjust this fee with 30 days' written notice.
You do not receive access to, credentials for, or ownership of WDM's AWS account or infrastructure. The §6 license to use and modify the WDM IP delivered to you applies regardless of hosting arrangement — this paragraph governs infrastructure access only, not your rights to the code itself.
On request, WDM will provide a copy of your website's code and content as a zip export, to the best of WDM's ability. If professional services are required to migrate your site to different hosting — for example, if you cancel your hosting subscription and want to self-host — that work will be billed separately, at a rate WDM determines at the time based on then-prevailing industry rates. See §2a for the self-hosted alternative. This export does not include the Automated Blog Posts generation/scheduling system — see §6.
Timelines: Delivery timelines are estimates. Delays caused by client-side factors — including late content delivery, delayed approvals, or unresponsiveness — do not create liability for WDM.
Self-Hosted Alternative (Client-Owned AWS)
On request, WDM will instead deploy your website to an AWS account set up in your own name, rather than WDM's managed hosting described in §2. This arrangement is available on request and is not the default service.
Under this arrangement, ongoing AWS hosting (typically $1–5/month) is your direct obligation to Amazon Web Services, and WDM does not collect, mark up, or resell hosting fees. WDM's $10/month managed hosting fee does not apply, and neither does the code-export process described in §2 — you already hold your own AWS credentials and can move or modify the deployment directly.
The §6 license to use, modify, and host the WDM IP delivered to you applies the same as under WDM's managed hosting.
No-Setup-Fee Website Plan ($0 + $20/mo)
As an alternative to the $300 + $10/month arrangement described in §2, WDM offers the identical deliverables listed in §2 — the same website, on-page SEO, analytics installation, and managed hosting — for $0 upfront and $20/month, billed monthly starting at launch. WDM may adjust this fee with 30 days' written notice, the same as §2.
- ✓ WDM has received 24 monthly hosting payments under this plan (they do not need to be consecutive); or
- ✓ You pay WDM a one-time buyout fee of $300, at any time, in addition to hosting fees already paid.
Before vesting, if you cancel hosting or otherwise end this arrangement, hosting simply stops — the same as cancelling any month-to-month subscription. WDM owes no code export or migration assistance in that case, because the cost of building your site has not yet been recovered. This is not a penalty; it reflects that the $0 setup fee was conditioned on continued hosting revenue or the buyout, not on a fixed term of service.
Once vested, this plan is treated identically to §2 for all remaining purposes, including the §6 license and the §11 termination terms.
The self-hosted alternative described in §2a is not available under this plan prior to vesting, since it would let you obtain the deliverables without satisfying the condition this plan's pricing depends on.
Campaign Management Service ($100/Campaign)
The $100 per-campaign fee covers WDM's management labor, including:
- ✓ Campaign strategy and audience targeting
- ✓ Ad copy and creative brief
- ✓ Campaign build, configuration, and launch
- ✓ One (1) performance report at the conclusion of the campaign period
WDM is not responsible for how Google, Meta, or any other advertising platform allocates, prices, delivers, or declines to deliver ad impressions. Platform decisions — including ad disapprovals, account suspensions, or policy changes — are outside WDM's control.
Ongoing month-to-month campaign management is priced separately and quoted in writing before each period begins.
Free SEO Audit
Requesting or receiving a free SEO audit from WDM creates no contractual obligation for either party. No commitment to purchase any service is implied or required.
Audit findings are provided as-is, for informational purposes only. WDM makes no guarantee that implementing audit recommendations will improve search engine rankings, traffic, or any other metric.
Content & Client Responsibilities
You are solely responsible for the accuracy, truthfulness, completeness, and legality of all content you provide to WDM or approve for publication on your behalf.
By providing content, you warrant that you own or have all necessary rights, licenses, and permissions for all materials — including text, images, logos, and trademarks — and that such materials do not infringe the intellectual property rights of any third party.
WDM is not responsible for content that: infringes third-party intellectual property, violates advertising platform policies (Google Ads, Meta Ads), contains false or misleading claims, or violates any applicable law or regulation.
You are responsible for ensuring your business content complies with all applicable laws and regulations in your jurisdiction, including industry-specific advertising regulations.
Intellectual Property & License
WDM IP. WDM retains sole ownership of all source code, designs, layouts, page templates, build and deployment tooling, and infrastructure configurations (including Lambda functions, infrastructure-as-code templates, and CI/CD scripts) created or used by WDM in connection with your project ("WDM IP"). WDM IP is built to be reused across multiple client projects and is not assigned or transferred to you.
License granted to you. WDM grants you a non-exclusive, perpetual, irrevocable for the life of your website, worldwide, royalty-free license to use, run, host, and modify the WDM IP delivered as part of your website — including the right to move your website to a different server or host, and to have a third-party developer of your choosing modify it. This license covers your own website only; it does not grant you the right to resell, sublicense, or repurpose WDM IP as a standalone product or template for other businesses. If you are on the No-Setup-Fee plan described in §2b, the portability component of this license — the right to move your website to a different server or host — is subject to §2b's vesting condition until satisfied; all other rights under this license, including the right to use and modify the WDM IP on WDM's own hosting, apply from day one regardless of plan.
WDM's right to reuse. Because the license granted to you is non-exclusive, WDM retains the unrestricted right to use, reuse, modify, and license the same source code, designs, layouts, and tooling — in whole or in part — to other clients and for its own purposes.
Automated Blog Posts. The Automated Blog Posts feature — including its content-generation, scheduling, and publishing logic — runs entirely on WDM's own infrastructure as a centrally-operated service, not as software delivered to your website. It is not "WDM IP delivered as part of your website" under this section, and is excluded from the code-export process described in §2 and from the portability license above. If you terminate your engagement with WDM or migrate your website to a different host or provider, Automated Blog Posts stops running for your site regardless of hosting arrangement (including under §2a). This does not affect the Blog Admin dashboard/API, which is deployed to your own hosting environment and is licensed to you the same as the rest of your website under this section — nor does it affect any blog posts already published to your site, which remain your content like any other page.
Your content. Any photos, logos, copy, trademarks, or other materials you supply to WDM remain solely your property. You grant WDM a limited license to use those materials solely to design, build, and host your website. WDM claims no ownership over content you provide.
WDM retains the right to reference completed work in its portfolio and case studies unless you request otherwise in writing within 30 days of project delivery.
Stock photography, icons, and other third-party assets incorporated into your site remain subject to their original license terms. WDM will inform you of any assets that carry attribution requirements or use restrictions.
Third-Party Services
WDM's services depend on third-party platforms including but not limited to Amazon Web Services, Google, and Meta. These platforms operate independently and are outside WDM's control.
WDM is not liable for outages, service degradations, policy changes, price increases, account suspensions, feature removals, or any other actions taken by third-party platforms.
Google Ads and Meta Ads accounts are subject to those platforms' advertising policies. WDM will make reasonable efforts to ensure campaigns comply with current platform policies, but cannot guarantee that any ad or campaign will be approved, delivered, or maintained by those platforms.
No Guarantees / Disclaimer of Warranties
All services are provided "as is" and "as available." To the fullest extent permitted by applicable law, WDM disclaims all warranties, express or implied, including merchantability and fitness for a particular purpose.
Limitation of Liability
WDM's total liability to you for any claim arising out of or related to these terms or our services shall not exceed the total fees you paid to WDM for the specific service giving rise to the claim.
In no event shall WDM be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to: loss of revenue, loss of customers, loss of data, loss of business opportunity, or business interruption — even if WDM has been advised of the possibility of such damages.
Payment & Refunds
Payment is due before work begins, or as otherwise agreed in writing prior to engagement.
If WDM has not yet commenced work on your project, a full refund will be issued upon written request sent to support@woodstockdigitalmarketing.com.
Termination
Either party may terminate month-to-month engagements (ongoing campaign management or maintenance) with written notice. Notice may be delivered by email to support@woodstockdigitalmarketing.com.
Upon termination, you retain ownership of your domain, your data, and any content you supplied, and your license to the WDM IP delivered to you (per §6) continues for the life of your website. If you are on WDM's managed hosting (§2), termination is also subject to that section's terms regarding code export and migration assistance. If you are on the No-Setup-Fee plan (§2b), termination before the vesting condition in §2b is satisfied ends hosting only, with no code export or migration assistance owed, as described in that section; once vested, §2b's terms mirror §2 in full. If you are on the self-hosted alternative (§2a), you already hold your own AWS account directly. WDM retains fees for work completed through the termination date.
Governing Law & Jurisdiction
These terms are governed by and construed in accordance with the laws of the State of Georgia, without regard to its conflict of law provisions.
Any dispute arising from or related to these terms or WDM's services shall be resolved exclusively in the state or federal courts located in Cherokee County, Georgia. You consent to the personal jurisdiction of such courts.
Updates to These Terms
WDM may update these Terms of Service at any time. Continued use of our services or this website after an update constitutes acceptance of the revised terms.
Material changes will be noted by updating the "Last Updated" date at the top of this page. We encourage you to review these terms periodically.
